契約書の作成
少額であったり、すでに信頼関係ができている取引先であれば、見積もり書のみ、または注文書の発行で取り引きを完結することもできます。
契約書を作成する場合、簡単なものは、見積書に少し手を加えて契約書にすることが可能です。見本は、３月２日号で紹介した見積書を契約書に直したものです。
その他、契約関連で利用できる表現をいくつか紹介しておきます。
The report written in English will be e-mailed
to you in Word format no later than May 31, 2000.
英語の報告書を2000年５月31日までにワードフォーマットで電子メールにて送付するものとする。
Client shall compensate Consultant for the
above service at an hourly rate of \20,000, not
to exceed an estimated duration of 10 hours.
クライアントは上記サービスのため見積もりの10時間を超過しない範囲で、コンサルタントに１時間あたり２万円の報酬を支払うものとする。
Client shall reimburse Consultant for out-of-pocket
expenses upon receipt of invoice.
クライアントは請求書受領とともに、コンサルタントに立替経費を返済するものとする。
Either party may terminate this arrangement
by informing the other party in writing upon 30
day notice.
どちらの当事者も、30日前に書面にて他方に通知することにより、この契約を終了することができる。
A late payment charge of 1.5% per month will
be applied on an unpaid balance if payment is
not received within 30 days of the invoice date.
請求日から30日以内に支払が行なわれない場合、未払い金額に対して月1.5％の延滞料が課せられるものとする。

Agreement
This agreement is made on March 18, 2000 by
and between WebJapan, Inc. ("WebJapan) located
at 2-1-13 Kotobuki, Taito-ku, Tokyo 110 Japan
and ABC Corporation ("Client") located at 5001
Birch Street, Newport Beach, CA 92660 USA.
The parties agree that WebJapan will design Japanese
web pages for Client under the following terms
and conditions:
Fee:
Renew 12 existing pages ￥8,000/page ￥96,000
Create 8 new pages ￥15,000/page ￥120,000

Total Fee ￥216,000
Note: The content will be provided by Client.
Delivery:
Web Japan will provide design samples within
seven business days after receipt of written order.
The final work will be delivered within 10 business
days after the Client's selection of the design
and submission of the content. The final work
will be uploaded to the Client's designated web
server. The Client must provide the user ID and
password necessary to access the web server.
Payment terms：
Payment terms are net 30 of invoice date. The
Client will wire transfer the total fee in Japanese
yen into WebJapan's designated bank account in
Japan.
